1. Use of the Website

Welcome to the KLIMCHI.COM website (hereinafter referred to as the "Website"). By accessing this website, you agree to these terms and conditions ("Terms"). If you do not agree with them, you must not use this website and you should leave it immediately.

KLIMCHI.COM is an online service of Klimchi s.r.o. (hereinafter referred to as "KLIMCHI/KLIMCHI.COM"/"We"/"our"/"us") provided solely for your personal use to sell glass, lighting, accessories and other items ( hereinafter referred to as "items").

We have taken great care to ensure that the Items on our website are presented as accurately as possible. However, color clarity depends on your personal monitor and therefore we cannot guarantee that the color of the actual Goods is completely accurate. Please read these terms and conditions before placing an order.

To be eligible to purchase items on this website you must:

1. a) be the holder of a valid debit/credit card.
2. b) guarantee that the personal data you are required to provide when registering as a customer is true, accurate and up-to-date in all respects.

If your personal information changes, please notify us immediately by contacting Customer Care at the following email address: customercare@klimchi.com.

You agree not to impersonate any other person or entity or use a false name or a name that you are not authorized to use.

By using this site, you agree to be bound by these terms and conditions.

We may change these terms from time to time at our sole discretion. By using this website after any such change(s), you agree to follow and be bound by the changed terms.

2. Purchase

When you order an item from KLIMCHI, you are offering to purchase it at the price listed, subject to these terms.

A series of instructions on the website will guide you through the ordering process. You can order Goods from the Website by clicking the Buy Now button at the end of the online ordering process.

Once you have placed your order, we will send you an email confirming the exact details of your order, including the payment link and the value of your order which will be charged to your credit/debit card. This is not an order confirmation or acceptance of the order by KLIMCHI.

If we have not notified you that we do not accept your order, or you have not canceled it in accordance with the returns policy set out in section 3b below, your order will be accepted and the contract between you and us will be concluded when you receive an email from us notifying you, that we have shipped the Goods you ordered.

Our acceptance of your order will be deemed complete and accepted by you at the time and date we send the email, which time and date is set out in the email. The estimated time and date of receipt by you applies regardless of whether, for reasons beyond our control, you did not receive this email.

If you require any information regarding your order(s), please contact the customer care team at customercare@klimchi.com.

We may not accept your order if (i) the item you ordered is out of stock, (ii) your card expires within 28 days of the date of purchase, (iii) we are unable to authorize your payment, or (iv) we discover an error in the product or price . We reserve the right to reject any purchase offer from you at any time and in our sole discretion.

If we are unable to fulfill your order after our confirmation of the order, we will contact you by email or telephone to inform you of this fact. See returns policy in section 3b below.

We will try to keep our website as up-to-date as possible, but we cannot guarantee that a particular item will always be available. If we are unable to deliver an item, we will release the funds held in your account for the purchase.

3. Price and delivery

3a. Orders

Currency: Your card will be charged in GBP £. Prices for UK shipments will be quoted in GBP £. For shipping outside of Europe to North and South America including Canada and the Caribbean, prices are in USD $. Prices for shipments to all other countries will be shown in EUR.

The price you see at checkout is the price you pay. It will not change later, regardless of any currency fluctuations. The refund will also be set to the price you paid, not the price in the relevant currency on the date of the refund.

VAT: KLIMCHI is not registered as a VAT payer and therefore no VAT will be charged on orders.

A currency converter function is available on the website to enable clients to approximately calculate prices in local currency. Please note that they are for display purposes only and prices are calculated based on regularly updated exchange rates. Final payment will be made in GBP £. Final credit card amounts and charges may therefore vary due to currency fluctuations and bank charges. KLIMCHI advises clients to contact their home bank for an accurate recalculation of the price and any bank charges related to the transactions.

Please note that KLIMCHI does not currently collect or apply US sales tax. Your purchase may be subject to local use tax if it is not tax exempt. It is your responsibility as a customer to report any purchase of tangible personal property that has not been taxed by KLIMCHI and to pay the use tax on such purchases unless they are exempt from tax under local state laws.

If you are shipping your order to the US on a DDP (Delivery Duty Paid) basis and you decide to return the item, we will refund the duty and tax. By ordering goods from KLIMCHI, you hereby assign your right to a Duty Drawback directly from the Department of Immigration and Border Protection to KLIMCHI and agree that you will not claim a Duty Drawback yourself.

Deliveries to countries other than the mainland United States that are outside the EU may be subject to local import taxes for which you are responsible (where applicable). In this case, the shipping company will contact you by phone once the Goods are at customs to inform you of the costs. Please note that this may delay the delivery time as goods held at customs will be your responsibility to pay the necessary fees to the local authorities to release the goods.

Our aim is to deliver the goods you have chosen to the place of your choice and to the person of your choice, in perfect condition and in the shortest possible time. Our delivery charges depend on the destination of your shipment. Delivery times and costs can be found in our delivery section. Estimated delivery times are for guidance only. KLIMCHI cannot be held responsible for delays caused by customs clearance, courier failure to deliver or payment problems. All purchases are insured during transit until they are delivered to you. If you would like to track your shipment, please check the email that was sent to you with the tracking number, or email us at customercare@klimchi.com and we will track the shipment for you.

Please order from KLIMCHI well in advance to avoid any loss or disappointment resulting from delivery time as KLIMCHI cannot be held responsible for these.

If your order is not delivered within the time specified when ordering, we will notify you and attempt to remedy the situation as quickly as reasonably practicable.

All new orders are considered separate and each is treated individually.

Since KLIMCHI online purchases may be delivered to addresses other than the billing address provided by the cardholder, such as when purchasing a gift and addressing it to a friend, for security reasons, it will be sent to the cardholder's registered email address and residential address e-mail and a copy of the invoice, and we will require a signature upon delivery for all shipped goods.

3b. Returning goods and canceling an order

Customer satisfaction is always our top priority, which is why we handle each question individually to the best of our ability. While we hope you are happy with your order, if you are not completely satisfied with your item, we are happy to give you a full refund.

Please read our returns policy carefully to process your request as quickly as possible.

All returns should be sent back to us in the original packaging supplied. Please ensure that the KLIMCHI box is properly protected when returning the shipment.

You have 14 days from receipt of your order to submit a return request. Returns outside the 28 day period may be accepted at our discretion. Goods should be returned unused and in perfect condition with all KLIMCHI tags still attached. Returns that are damaged, soiled or returned without original tags may not be accepted and may be sent back to the customer.

Before the shipment leaves our warehouse, it is fully inspected and checked by our packing team. If you receive a package that is damaged, please notify the courier when collecting the package. Failure to do so will make it difficult to prove that the shipment(s) were damaged in transit and the claim may be upheld at our discretion. If you receive a damaged item(s), please contact us immediately and provide us with photos of the damaged item(s).

If your goods are faulty (ie a manufacturing defect) we can offer you alternatives such as an exchange. Contact our customer care team for more information.

Returning goods from countries outside the EU

If you live outside the EU, you also received an invoice with the shipment. This must be filled out and attached to the goods you want to return. This form must indicate which goods are being returned. All successfully returned items will only be credited to the account from which they were originally purchased, less any applicable taxes, import duties or original shipping charges, and will be refunded in the currency in which you purchased the item(s) for the price you paid according to the exchange rate in effect on the day you purchased the item(s). Please note that for returns on DDP orders, duty and/or tax is refunded only if the order was shipped to the US.

Our returns policy does not affect your statutory rights in any way.

Statutory cancellation rights

If you are in the EU, you have the right to cancel your order under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

You can cancel your order within 14 days from the day you received the Goods.

If for any reason you wish to cancel your order before the Goods have been dispatched, you must notify us. In order to do so, you must confirm this in writing to customercare@klimchi.com. You may use the sample order cancellation form (attached at the end of this section), but it is not mandatory. If you cancel your order, we will refund all payments we have received from you, including delivery costs within 14 days (except for any additional costs incurred if you choose a delivery other than the cheapest standard delivery we offer).

If you wish to cancel your order after the Goods have been dispatched, you must notify us within 14 days of the day you received the Goods. You can notify us by email as above. Once we have received notice from you of your wish to cancel your order, you will have a further 14 days to return the Goods to us. You will bear the direct costs of returning the Goods.

We can deduct the loss of value of the Goods from the compensation, if it occurred as a result of unnecessary handling on your part.

3c. Discount codes

From time to time you may receive discount codes from us via email or promotional materials.

Free shipping offers apply to the basic delivery option. Free shipping offers on orders only apply to full price items. In all cases, only delivery is free. All taxes, duties and customs fees are charged. Promotion code FREEDEL applies to all orders over £100. Codes cannot be used in combination with any other offer at KLIMCHI.

Each code is unique to the recipient, is non-transferable, has no monetary value and cannot be converted into currency in any way. Each code has an expiry date which will be shown at the time of the promotion or on accompanying promotional materials, which cannot be changed. Discount codes can only be used when purchasing online. This will again be stated at the time of the event and in accompanying promotional materials.

If the order is made using a promotional code and contains multiple items, the value of the discount will be spread over the individual items according to the relative value of the given item. Any refund for an item purchased under such order will be reduced by the value of the discount applicable to it. The discount is non-refundable.

The value of the discount code cannot be deducted from the order in any case if this code is faulty or out of date: replacement codes will not be issued.

Only one discount coupon can be used per order.

4. Credit cards

KLIMCHI allows orders to be processed online using a valid credit or debit card.

Your credit card company may perform an additional security check to confirm that you are the one placing the order. All credit/debit card holders are subject to a verification check and authorization by the card issuer. If the issuer of your payment card refuses or subsequently refuses or does not authorize payment to our company for any reason, we shall not be liable for any delay or non-delivery of goods.

5. Transfer of Ownership and Risk

We retain legal title to the Goods until full payment is made and received by us. Legal ownership of the Items will immediately revert to us if we refund any such payment to you. Risk in the items passes to you upon delivery.

6. Refunds

KLIMCHI wants to ensure your full satisfaction with the Goods. For online purchases, we will accept Goods that have not been used or damaged for a full refund as stated above.

All successfully returned items will be credited to the original payment method. Original postage is non-refundable. Please note that refunds may take up to 14 business days to appear in your account due to the different processing times of different payment service providers. If you have any questions or would like to discuss the return process in more detail, please do not hesitate to email us at customercare@klimchi.com.

The trademarks, logos and service marks displayed on the Website (hereinafter collectively referred to as "Trademarks") are registered and unregistered trademarks of KLIMCHI, our affiliated companies, our licensors or our partners in the Czech Republic and other countries and are protected by the Czech, EU and international trademark laws. All or any other trademarks not owned by us, our affiliates, our partners or our licensors that appear on the Website are the property of their respective owners, who may or may not be affiliated, connected or sponsored by us .

Except as provided in the limited license in the section entitled "Limited License" below or as required by applicable law, the content, trademarks or any other part of the Website may not be used, reproduced, duplicated, copied, sold, resold, made available, modified or otherwise used, in whole or in part, for any purpose without our prior written consent.

9. Limited License

We grant you a limited, revocable and non-exclusive license to access and make personal use of the Website. Please note that you may not frame, link to, or use any framing or linking techniques to the Website or any portion thereof without our prior written consent, which we may withhold at our discretion.

The limited license set forth in this section does not include the right to:

1. a) modify or download the Website or its content (except for caching or, if necessary, displaying the content);
2. b) use the Website or its content other than for personal use
3. c) create any derivative works based on the Website or its content
4. d) collect account information for the benefit of another party
5. e) use any meta tags or any other "hidden text" utilizing our name or Trademarks without our express written consent.
6. f) use software robots, spiders, crawlers or similar data collection and extraction tools or perform any other activities that could place an unreasonable load or burden on our infrastructure.

You are granted a limited, revocable and non-exclusive right to hyperlink to the home page of the Website for your personal, non-commercial use only. A website that links to our Website may:

1. a) link to our content but not copy it.
2. b) must not imply that we endorse such website or its services or products
3. c) not misrepresent your relationship with us
4. d) must not contain content that could be considered disgusting, obscene, offensive or controversial and may only contain content suitable for all ages
5. e) do not portray us or our products, services or items in a false, misleading, defamatory or otherwise offensive or inappropriate manner, or associate us with undesirable products, services or opinions

Any unauthorized use by you of the Website terminates the limited license set forth in this section, without prejudice to any other remedies that may be available to us under applicable law.

Links appearing on the Website are for convenience only and do not constitute an endorsement by us, our affiliates or our partners of the linked content, product, service or supplier. We are in no way responsible for examining or evaluating and do not guarantee the offering of sites outside the Website or other websites linked to or from, nor do we assume any responsibility for the conduct, content, products or services of such sites and websites, other than others including their privacy statements and terms. 11. Posting

We welcome questions or feedback about products you use or might purchase; however, according to our policy, we reject unsolicited suggestions and ideas. Notwithstanding our policy regarding unsolicited suggestions and ideas, any questions, feedback, suggestions, ideas or other information you provide to us (collectively, "Submissions") will be considered non-proprietary and non-confidential. Subject to the terms of our Privacy Policy, by submitting or posting any Submission, you hereby grant us a non-exclusive, royalty-free, transferable and fully sublicensable right to use, reproduce, modify, adapt, publish, sell, transfer, translate, create derivative works, distribute and display any A contribution in any form, medium or technology, whether now known or later developed, alone or as part of other works. 12. Our liability to you

You have certain rights under law, including the right that any Items you order through this Website are of satisfactory quality, fit for their intended purpose and correspond to your order and any description given on this Website.

If we fail to comply with these Terms, we are liable for loss or damage you suffer that is a foreseeable consequence of our breach of the Terms or our negligence, but we are not liable for loss or damage that is not foreseeable. Loss or damage is foreseeable if it is an obvious consequence of our breach or if it was foreseen by you and us at the time these Terms were entered into.

We supply the items, use of the website and any other services for domestic and private use only. You agree not to use the Items, the Website or any other services provided by us for commercial, trading or sales purposes and we shall not be liable to you for any loss of profit, loss of business, business interruption or loss of business opportunity. You further agree that under no circumstances shall we be liable for any computer viruses, system failures or malfunctions that may occur in connection with your use of the Website, including while hyperlinking to or from third party websites.

In no event shall our maximum aggregate liability exceed the greater of one hundred pounds (CZK 100.00) or the amount you have paid us for the item in respect of which you are making a claim. Because some countries do not allow the exclusion or limitation of liability for consequential or incidental damages, in such countries our liability is limited to the maximum extent permitted by the laws of that country. None of the warranties in this article affect your statutory rights.

13. Disputes

To the maximum extent permitted by applicable law, all disputes relating in any way to your visit to the Website and purchase of any Goods from KLIMCHI shall be submitted to confidential arbitration in Prague, except that if you have in any way violated our intellectual property rights or threatened that you will violate them, we may seek an injunction or other appropriate measure in the Czech courts and you agree to the exclusive jurisdiction and venue of those courts. Arbitration under this Agreement shall be conducted in accordance with the then-current rules of the International Chamber of Commerce. The decision of the arbitrator shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the maximum extent permitted by applicable law, an arbitration under this Agreement may not be joined with an arbitration involving any other party covered by this Agreement, whether through class arbitration or otherwise. To the extent not permitted by applicable law, any dispute relating in any way to your visit to the Website shall be submitted to the appropriate court or other judicial authority in Prague, subject to all applicable provisions of this section.

14. In general

You acknowledge and agree that these Terms, together with our Privacy Policy, constitute the entire and exclusive agreement between us regarding your use of the Website and any purchase by you of any Goods from KLIMCHI, and supersede and modify all prior proposals, agreements or other communications.

If any provision of these Terms is found to be illegal, invalid or unenforceable in whole or in part, these Terms will continue in effect with respect to the other provisions and the remainder of the affected provision. Any waiver by KLIMCHI of any provision of these Terms shall not be deemed a waiver of any subsequent breach or default and shall have no effect on the other provisions of these Terms.

No exercise and no delay by either party in exercising any right, remedy, power or privilege of that party under these Terms and no course of dealing between the parties shall be construed as a waiver of the right or privilege and no individual or partial exercise of any right, remedy, power or privilege shall not preclude any other or further exercise or exercise of any other right, remedy, power or privilege. The rights and remedies provided by these Terms are cumulative and are not exclusive of any rights or remedies provided by law. Time is not of the essence of these Terms with respect to any time, date and/or period specified herein.

Nothing contained in these Terms shall be construed as creating any agency, partnership or other form of joint venture between us.

We reserve the right to change these Terms at any time, and we encourage you to return to these Terms regularly and ensure that you are always fully familiar with our Terms. All changes are effective immediately upon their publication on the website. Your continued use of the Website constitutes your agreement to all such Terms.

We may terminate any right granted by these Terms with or without notice. You must promptly comply with any notice of termination or other notice, including any termination of all use of the Website.

We reserve the right to refuse to supply items to any person for any reason, to withdraw any items from the Website at any time, and/or to remove or edit any materials or content on the Website. We shall not be liable to you or any third party by reason of the withdrawal of any items from this Website, whether or not such items have been sold; removing or modifying content on the Website; refusing to process a transaction or canceling or suspending any transaction after processing has begun.

15. Governing Law

Your use of this Website and any purchase of any Goods from KLIMCHI is governed by Czech law and you hereby submit to the exclusive jurisdiction of the Czech courts.

16. Gift Cards

KLIMCHI gift cards are sold under the following conditions:

1. a) Gift cards are valid for 12 months from the date of purchase.
2. b) Gift cards can be redeemed for all products on KLIMCHI.
3. c) Gift cards cannot be returned or refunded and are non-transferable.
4. d) Gift cards can only be purchased using a debit or credit card; Account credit cannot be used to purchase a Gift Card.
5. e) If your order exceeds the credit value, the remaining amount must be paid by credit or debit card.
6. f) If you return products that you purchased using a gift card, the remaining amount will be credited to your account and can be applied to other orders.
7. g) KLIMCHI shall not be liable in case of loss, theft, destruction or use of the Gift Card without your consent.
8. h) KLIMCHI reserves the right to cancel the Gift Card if deemed necessary.
9. i) Gift cards are exempt from duty and tax.
10. j) No delivery charges apply to orders with Gift Card(s) only.
11. k) If the customer purchases a Gift Card or Gift Cards together with other products, standard delivery charges apply (except during free delivery promotions).
12. l) Gift cards cannot be used in conjunction with any other offer, except for free delivery promotions.

17. Use and Submission on The Style Social Website

Our website allows you to upload your own photos and/or videos of yourself, and Instagram and Twitter photos and videos that include the hashtag #KLIMCHI are available in the website gallery. If your content, uploaded to the Website or otherwise provided as a Submission, is selected by KLIMCHI, it may be displayed or appear on the Website, social media channels or as otherwise described in these Terms of Use for viewing by other users, together with with your name and related Instagram or Twitter profile information (if applicable) (such as your username and profile photo). KLIMCHI is not obligated to display or publish any photo or video on the Website or otherwise, but may do so at its sole discretion.

By uploading your photo or submitting it using one of the listed hashtags on Twitter or Instagram, you acknowledge that it may be selected for display in a gallery on the Website or social media channels. KLIMCHI will select photos at its discretion. For the avoidance of doubt, KLIMCHI is under no obligation to use any submitted photographs.

By uploading a photo, you retain your rights to that photo. By submitting a photo, you hereby grant to KLIMCHI a perpetual irrevocable, worldwide, non-exclusive, royalty-free, transferable and sublicensable license to use, modify, change, reproduce, translate, publish and/or distribute the photos and/or incorporate them into other works on websites, applications , KLIMCHI e-mails and social media channels, or in other products or services available through the Website (the Website and products and services collectively referred to as the "Services") for promotional purposes and in advertising, marketing and/or promotional materials without further compensation or prior notice using all media or distribution methods (now known or later developed). We also reserve the right to display any Submission as well as your name, Instagram or Twitter handle, Facebook ID, profile picture, picture, likeness, comments, posts, statements or other information in any form, medium or technology, now known or hereafter developed, independently or as part of other works without further notice or compensation.

You acknowledge that this license means that your photo may be made available worldwide by KLIMCHI within the Services and that other users of the Services (individuals and companies) may also share and make your photos available on social media platforms or other services. Specifically, the user can share a photo directly from the gallery on Pinterest, Twitter and Facebook. KLIMCHI retains the rights granted to each Submission, even if the Submission is disqualified or does not meet the Submission Requirements. If you do not wish to grant the above permissions, then please do not submit or share your photos.

By submitting the photos, you warrant and represent that you have the right to grant the license described above. In particular, you promise that you have obtained the permission of all persons depicted in the photograph (and, if they are under 18 years of age, their parents and/or guardians) for KLIMCHI and other users of the Services to use the photographs. To the extent permitted by law, you also agree to waive your moral rights with respect to any submitted photographs.

When you provide a Submission, you acknowledge and agree that such Submissions will be non-proprietary and non-confidential, may be made available to the general public and may be used by KLIMCHI without restriction. You represent and warrant that your provision of Submissions through KLIMCHI complies with all applicable laws, rules and regulations, the Instagram Terms of Service, the Twitter Terms of Service and any third party agreements that apply to you. To the maximum extent permitted by applicable law, you further irrevocably waive all legal and equitable rights relating to all liabilities, claims, demands, suits, actions, damages and expenses, including without limitation claims for copyright or trademark infringement, moral infringement, defamation , invasion of privacy, right of publicity, invasion of privacy, false light, disclosure of private facts, physical or emotional injury or suffering, or any similar claim or cause of action under any applicable law or under any legal theory ("Claims"), arising directly or indirectly from the exercise of KLIMCHI's rights under these Terms of Use and from the use and exploitation of any Submission, and regardless of whether they arise in whole or in part from the negligence of KLIMCHI or any other person, and you agree not to assert any such claims against KLIMCHI or our parent companies, affiliates, licensees, licensors and all of their respective officers, directors, employees, successors, agents and assigns, and you will forever release all such parties from liability for such claims. This Section shall survive termination of this Agreement for any reason.

Depending on how you upload your photos to the gallery, it may give you the ability to interact with social media services. These features may enable integration and/or access to social media services, your profiles on those services, or set rules for the use of your personal information on those services. These matters are under the control of you and the social media providers, not KLIMCHI.
